Biography
Emile’s practice focuses on corporate transactions, including mergers and acquisitions, private equity and dispositions, restructurings and reorganizations and corporate finance transactions in the Middle East and Europe across various sectors including the telecom sector. Prior to joining TLA, Emile was an associate at Vinson & Elkins in Dubai and Herbert Smith Freehills in Dubai.
Emile was recognized as a notable practitioner for Corporate/M&A in the UAE by Chambers and Partners in 2025. Also, he was recognized as notable practitioner for M&A in the UAE by IFLR1000 in 2022, 2023 and 2024 and he was recommended for M&A in the UAE by Legal 500 in 2018.

- Assisted e& in the purchase of assets held in trust with lenders of PCCS, a company undergoing bankruptcy, based on court order from the Dubai courts, and transferring such assets to a joint venture company held by e& and Khazna.
- Assisted Etisalat in relation to the acquisition of 8.7% of the share capital of Etisalat Investment North Africa L.L.C. (EINA) from Horizon Investments, an investment company part of the Abu Dhabi Fund for Development group.
- Assisted Etisalat in the purchase of 100% of the share capital of el Grocer DMCC.
- Assisted Etisalat in the purchase of 100% of the share capital of Service Market DMCC.
- Assisted the company, Creative Technology Solutions DMCC (a provider of IT-enables solutions in the education sector in the Middle East) and its founders, in relation to an investment by e& Capital VC Holding (the venture-capital arm of Emirates Telecommunications Group Company PJSC, an ADX listed company) by way of a primary and secondary transaction in the company.
- Assisted our trusted client Al Yasra in relation to its investment by way of subscription of newly issued shares in Eighty 6 Holding Limited.
- Assisted PWC as lead counsel in its strategic investments in Zero & One, a company that supports their clients’ growth through delivering AWS services, including cloud adoption, AI and machine learning, data and analytics and more.
- Assisted in the acquisition by PricewaterhouseCoopers (PwC) Group of the assets of Tyconz Group, provider of SAP digital technology solutions.
- Assisted Al Majdouie Holding Limited and its affiliates in relation to their sale of a significant minority stake in Arjaa for Travel & Tourism Company LLC (a KSA travel and tourism services company) to ATPI Holdings (Jersey) Limited (a world-leading travel solutions provider), including on obtaining merger control approval.
- Assisted Ajyal Education Services Enterprises Investment – Sole Proprietorship LLC in the purchase of additional shares consolidating a majority ownership in Al Mustaqbal Education LLC, a company operating schools in the Emirate of Abu Dhabi, from the Infinite Investment LLC, a company part of a group of companies declared bankrupt under the laws of the Emirate of the Abu Dhabi and acting by such group of companies’ trustees.
- Assisting Imkan Properties in the sale of a significant minority stake in ALJURF HOSPITALITY SERVICES, the developer of a reclaimed island positioned as the world’s first healthy-living island.
- Assisted Multiply Group in relation to the acquisition of Backlite Media LLC, one of the leading media companies in the UAE offering billboard and out-of-home advertising solutions.
- Assisted Rasmala and one of its shareholders in connection with sale of part of Rasmala’s shares to European Investment Bank, an Aim-listed investment bank based in the UK.
- Assisted Aqua Ventures International, a UAE-based investment company and its shareholders in a project financing of USD 125 million granted by Nomura International PLC (“Nomura”) to Aqua’s subsidiary, Aqua Europe Connected Limited.
- Assisted ACCUMED Practice Management DMCC, the leading revenue cycle management (RCM) company in the GCC, in the sale of a majority stake in its share capital to Gulf Capital, one of the largest and most active alternative asset management firms in the Middle East.
- Assisted the shareholders of Medica Group Holding Inc. in the sale of 70% stake to Glow Holding Ltd, a wholly owned subsidiary of Gulf Capital, a UAE based private equity fund.
- Assisted in the acquisition by Valtech S.E. of 100% stake in Revonic Web Design LLC, a Dubai-based provider of website and mobile app development services.
- Assisted in the acquisition by Majd Development and Investment Company from Saudi Al Wefaq Holding Company of 25% stake in Al Wefaq Rent A Car.
- Assisted Fakih IVF, the leading fertility treatment provider in the region, in the sale of the entire share capital of Fakih IVF to NMC Group.
- Assisted NMC Health PLC (NMC) in the acquisition of Al Zahra Hospital, one of the largest private hospitals in the United Arab Emirates, from Gulf Medical Projects for around AED 2.1 billion.
- Assisted a KSA-based large healthcare facility located in Jeddah with a pan-KSA presence, in USD 100 million sale of 100% of its share capital to a third-party investor.
- Assisted the founders of Stake Holding in the successful closing of their USD 4 million seed funding round.
- Assisted in the subscription and acquisition by BRAKKET MANAGEMENT of 24.14% of the issued and outstanding share capital of BEON IT DMCC, a Dubai based company engaged in providing SAP digital technology solutions to clients.
